Nuribat Thank you very much for the solution. Most of the times these kind of issues are related with the new "Hybrid Shutdown" (also known as "Fast Startup") feature introduced in Windows 8. Am now re-installing windows 7 ultimate from scratch after deleting DISK 0 AND 1 PARTITION to give me clean unallocated drive space to re-install windows 7 but i am using another I've gone to the ASUS website to find an equivalent ACPI driver for this mobo and have failed.

Disable all startup items and see if your problem goes away. I turned it off for saving space on my ssd's c drive and had to activate it for this all to work. You will have to kill the computer after doing this, but all the services should be stopped when you log back into Windows. Sa Unfortunately in my case this did not work.
